Note: Answer any TWO questions out of three. All questions carry equal marks.
1. "Shareholders are assigned many rights in a company, but they are unable to exercise their rights in most real scenarios. Even though there are recent legal developments in empowering shareholders, the current law indirectly eviscerates explicit shareholder rights in most situations"
Do you agree? In light of the above statement justify the concept of 'Shareholders Democracy" and also talk through the misleading metaphor relating to Shareholder 'Ownership' and 'Control' in a corporation. (Marks 10)
2. "The Companies Act 2013 has made significant departures with regard to appointment of Directors as well as the constitution of the Board. Companies that got too comfortable with the old system are now going to have to change. High Performance with High Integrity are the foundational corporate goals. The fusion of the two objectives is essential to avoid catastrophic risk that injures the company and its stakeholders. The 2013 Act turns the spotlight of the BOD. The Board is given greater responsibility and is made more accountable".
Justify the above statement by identifying the persons that are somehow or the other involved in the management of the company and then critically examining the scope, extent and their contribution towards company management. Also discuss the highlights of the New Act and establish as to how the 2013 promises a harmony between the control and management mechanism within the company. (Marks 10)
