Corporate Law-II
Max. Marks: 60 Time Allowed: 3:00 Hrs.
Note: Answer five questions including Question No. 1 which is compulsory. The number of marks
carried by each question is indicated at the end of the question.
1. Answer the following (each answer should be in approximately 100 words): (Marks 2×10=20)
a. Explain the powers and duties of official liquidator.
b. What do you understand by the winding up of a company?
c. Explain class action suit
d. Explain the Doctrine established in case of Foss v. Harbottle.
e. Discuss the term corporate governance and its relevance.
f. Briefly discuss the provisions under the Companies Act 2013 related to corporate
governance.
g. Discuss the role of independent director.
h. Distinguish between contributory's petition and joint petition.
i. Distinguish between liquidation and winding up
j. Discuss whether prohibition under section 241 and section 271 are simultaneously
maintainable.
2. What do you mean by Oppression and Management in a company? What are the conditions
for granting relief against oppression and mismanagement? (Marks 10)
3. "Directors are sometimes called agents of a company and sometimes trustees of a company.
However, in reality Directors are neither of the two. Sometimes they are organs of the
company." With reference to the given statement write an essay on legal position of directors.

4. Enumerate circumstances under which a company may compulsorily be wound up. Also
explain the circumstances which have been considered to be just and equitable for compulsory
winding up. (Marks 10)
5. (a)Whether a person appointed as additional director could be reappointed as additional
director if the Annual General Meeting of the company is adjourned and hold 6 months after
the close of its financial year? Discuss

6. Describe the reasons and rationales behind corporate social responsibility. Discuss the
relationship between corporate governance and corporate social responsibility. (Marks 10)

National Company Law Appellate Tribunal and dissolution of the Company Law Board. Also
discuss the eligibility criteria of appointment of President, judicial and technical members of
