SEMESTER-V
Corporate Law-I
Max. Marks: 60 Time Allowed: 3:00 Hrs.
Note: Answer five questions including Question No. 1 which is compulsory. The number of marks
carried by each question is indicated at the end of the question.
1. Discuss the following (each answer should be in approximately 100 words)

a. What do you mean by Doctrine of Constructive Notice?
b. Differentiate between Share and Debenture.
c. Explain the Doctrine of Indoor Management.
d. Distinguish between Company and Partnership.
e. Write short note on One Person Company.
f. Briefly discuss General Body meeting.
g. What do you mean by Dividend?
h. Distinguish between Abridged Prospectus and Deemed Prospectus.
i. Explain Sweat Equity Share.
j. Discuss the requisite of valid meeting.
2. Critically analyze the principle laid down by the House of Lords in case of Salomon v.
Salomon. (Marks 10)
3. Define Foreign Company. Explain with reasons whether the following are the Foreign
company
a. A company is incorporated in India while it carries on business outside India and also
all the members of the company are non-citizen of India.
b. A company is incorporated outside India and carries on its business in India, while all
the members are citizens of India.
c. A company is incorporated in Canada and carries on its business in England while all
the members are citizens of India. (Marks 10)
4. What do you mean by Prospectus? State whether a private company can issue prospectus.
Discuss the civil and criminal liabilities of promoters and officers of company with regard
to untrue statement made in the prospectus. (Marks 10)
5. Explain the Doctrine of Ultra vires. State the exceptions to this doctrine. What are the
consequences of the ultra vires transactions? Refer to Indian cases. (Marks 10)
6. Discuss pre-incorporation contract. Whether after incorporation a company can enforce
such contract? State the position before and after passing of the Specific Relief Act, 1963.

7. Whether a company can enjoy the Fundamental Rights provided by the Constitution of
India? Discuss with the help of decided cases. (Marks 10)
